End-User License Agreement (EULA) of this website www.USTelephony24.com and Kala Group LLC and it’s subsidiary Kala Group Technologies LLC.

This End-User License Agreement (“EULA”) is a legal agreement between you (the User of the site and of the services offered on the site) and Kala Group LLC (“Kala”). Your use of the Services listed on ustelephony24.com, and in the Bitrix24 Marketplace as an Application for downloading and use in your Commercial Bitrix24 CRM account, is your acknowledgment that you are at least 18 years of age and legally able to enter into binding agreements.

This EULA agreement governs your acquisition and use of our US Telephony24 software (“Software”) directly from Kala or indirectly through a Kala authorized reseller or distributor (a “Reseller”).

Please read this EULA carefully before completing the installation process and using the Software. It provides important information about your license to use the Software and contains warranty information and liability disclaimers. If you do not agree to the terms as described in this EULA, exit the website and do not download the Application or use the Software.

If a free trial of the Software is available, this EULA agreement will also govern that trial. By installing and/or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement, by installing the Software, on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions of this EULA. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software.

This EULA agreement shall apply only to the Software supplied by Kala under the trade name US Telephony24, and it’s Resellers, herewith regardless of whether other software is referred to or described herein. The terms also apply to any Software updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Kala hereby grants you a non-transferable, non-exclusive license to use the Software in connection with your paid Commercial Bitrix24 CRM license in accordance with the terms of this EULA agreement. This Software is not valid and will not be accessible if your paid Bitrix24 Commercial Account reverts to an unpaid or free Bitrix24 CRM account. You must register and pay for the Software before use will be granted.

You are permitted to install the Software under your control. You are responsible for ensuring your Bitrix24 CRM account, internet browser, and necessary hardware and software meet the minimum requirements of the Software. This includes maintaining a paid Commercial account of the Bitrix24 CRM.

Kala reserves the right to grant licenses to use the Software to third parties.

You are not permitted to:
• Edit, alter, modify, adapt, translate, copy, or otherwise change the whole or any part of the Software;
• Permit the whole or any part of the Software to be combined with or become incorporated in any other software aside from your Bitrix24 CRM software;
• Decompile, disassemble or reverse engineer the Software or attempt to do any such things;
• Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose other than connect it to and use in conjunction with your 1 (one) commercial license of Bitrix24 CRM;
• Allow any third party to use the Software on behalf of, or for the benefit of, any third party;
• Use the Software in any way which breaches any applicable local, state, federal, or international law; or
• Use the Software for any purpose that Kala considers to be a breach of this EULA agreement.

Intellectual Property and Ownership

Kala shall at all times retain exclusive ownership of the Software as originally downloaded (installed) by you and all subsequent downloads (installations) of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the exclusive property of Kala.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until you terminate use of the Software and remove it from your Bitrix24 CRM connection and any place you have stored the data.

This EULA may also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Liability

Nothing in this EULA, or the Privacy Policy, or other Terms and Conditions will limit or exclude your liability for fraud or fraudulent misrepresentation to Company. Company will not be liable for any loss or damage of any nature from your use of Company’s Software. Your use of the Software is at your own risk.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Hidalgo County, the State of Texas, and the United States of America.
